Official Rules

 

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT IMPROVE YOUR CHANCES OF WINNING.

 

VALID ONLY IN THE FIFTY (50) UNITED STATES (EXCLUDING NEW YORK AND FLORIDA), THE DISTRICT OF COLUMBIA, AND CANADA (EXCLUDING QUEBEC). VOID WHERE PROHIBITED.

 

Please read these official rules (the “Official Rules”) carefully, as they include important terms such as mandatory arbitration, limitations of liability, and waiver of certain legal rights. By entering the Cerberus Collective Giveaway #3 (the “Promotion”), you agree to these Official Rules and the decisions of Cerberus Collective (the “Sponsor”). If you do not agree to the Official Rules, you may not enter the Promotion.

 

1. Eligibility

 

The Promotion is open only to legal residents of the fifty (50) United States (excluding New York and Florida), the District of Columbia and Canada (excluding Quebec) who are of legal age of majority in their jurisdiction of residence and licensed drivers with a valid driver’s license.

 

Employees, officers, directors, agents, and representatives of the Sponsor, RAVEN5 Ltd. (the “Administrator”), their respective parent companies, subsidiaries, affiliates, prize suppliers, and advertising or promotion agencies involved in the administration, development, fulfillment, or execution of this Promotion (collectively, the “Promotion Parties”), as well as the immediate family members (spouse, parents, grandparents, siblings, and children) and/or members of the same household of each, are not eligible to enter or win.

 

The Promotion is subject to all applicable federal, state, provincial, territorial, municipal and local laws and regulations. If it is found that a person who does not meet the eligibility criteria set forth in these Official Rules has submitted an entry, such entry may be deemed ineligible. Sponsor reserves the right to verify eligibility requirements. Void where prohibited.

 

2. Promotion Period

 

The Promotion begins at 12:00:01 AM Mountain Time (“MT”) on September 1, 2025 and ends at 11:59:59 PM MT on November 30, 2025. Sponsor’s database clock will be the official timekeeper for this Promotion.

 

3. How to Enter

 

A. Online Purchase

During the Promotion Period, eligible entrants may receive entries by making qualifying purchases at www.cerberuscollective.com (the “Website”). Entries will be awarded based on the entry value assigned to each individual product as listed on the Website at the time of purchase. Entrants may view and track entries associated with their purchases by creating a customer account on the Website using the same email address provided at checkout; creating an account is optional and not required to obtain entries with a purchase.

 

There is no limit to the number of entries an entrant may receive from qualifying purchases at the Website. If a purchase is returned, cancelled, refunded, or subject to chargeback, any entries associated with that purchase will be void. No entry limit applies to entries earned via qualifying purchases (subject to product availability and compliance with these Official Rules). At checkout, purchasers must provide express consent to participate in the Promotion; purchases made without such consent will not generate entries.

 

B. Membership Purchase

During the Promotion Period, eligible entrants who purchase a membership through the Sponsor’s Website will automatically receive the following number of entries based on the membership purchased:

 

  1. Bronze – One hundred and fifty (150) entries
  2. Silver – Seven hundred and fifty (750) entries
  3. Gold – One thousand five hundred (1,500) entries
  4. Platinum – Four thousand (4,000) entries

 

C. Current Member

During the Promotion Period, eligible entrants who are current members will automatically receive the following number of entries based on their membership:

 

  1. Bronze – One hundred and fifty (150) entries
  2. Silver – Seven hundred and fifty (750) entries
  3. Gold – One thousand five hundred (1,500) entries
  4. Platinum – Four thousand (4,000) entries

 

D. Mail-In Entry

During the Promotion Period, eligible entrants may receive entries by hand-printing their full name, mailing address (including city, state/province, ZIP/postal code), telephone number, email address, and date of birth on a plain 3” x 5” card along with either (i) the phrase “100 Entries” or (ii) the name of the membership level they wish to substitute (Bronze Membership, Silver Membership, Gold Membership, or Platinum Membership). Place the completed card in a sealed, postage-paid envelope and mail it to: Cerberus Collective, Attn: Cerberus Collective Giveaway #3, 4929 77 Ave SE, Calgary, Alberta T2C 2X4.

 

Each valid mail-in received will be awarded one hundred (100) entries into the Promotion or will be treated as the equivalent of the one membership level specified on the card. No limit applies to mail-in requests that state “100 Entries” (each mail-in must be in a separate, individually mailed envelope). Limit one (1) mail-in request specifying a membership level per entrant for the entire Promotion Period. Limit one (1) mail-in entry card per outer mailing envelope. All mail-in entries must be postmarked during the Promotion Period and received by December 5, 2025.

 

Mechanically reproduced, automated, bulk, or incomplete entries are void. The mail-in entry card and outer envelope must be hand-printed by the entrant only. Entrants may not use any third-party organization to assist with the entry process (as determined by Sponsor in its sole discretion). Each envelope must be mailed individually; bulk shipments will not be accepted. No correspondence will be acknowledged or returned, and requests for confirmation of receipt will not be honoured.

 

E. Subscribe to Cerberus Collective’s newsletter

During the Promotion Period, eligible entrants may receive fifty (50) entries by subscribing to Cerberus Collective’s newsletter at https://www.cerberuscollective.com/apps/loyalty and completing any required confirmation. Limit fifty (50) entries per person for newsletter subscription. Subscribing, unsubscribing, and re-subscribing, or attempting to subscribe with multiple accounts/email addresses, will not result in additional entries and may result in disqualification.

 

4. Prize / Approximate Retail Value (“ARV”) / Odds


One Grand Prize is available to be won, consisting of a customized, pre-owned 2024 GMC Denali HD and $20,000 USD in cash. Additional details of the 2024 GMC Denali HD are available at:

The Grand Prize has an ARV of $170,000.00 USD.

 

Odds of winning depend on the total number of eligible entries received.

 

Prize Conditions:

In accepting a prize, winner is responsible for all federal, state, county, local and all other taxes (including income and withholding) on the prize and costs and expenses not specifically listed above as part of a prize, including, without limitation, applicable sales tax, registration, title, license, insurance, maintenance, and transport costs. Prize must be claimed at the Sponsor’s location in Calgary, Alberta within thirty (30) days of verification. Sponsor will coordinate vehicle pickup details directly with the winner once verified. Winner must present proof of a valid driver’s license and proof of valid automobile insurance (in accordance with applicable state/provincial law) at the time of delivery. Failure to provide such documentation may result in forfeiture of the prize, with no replacement.

If the Grand Prize winner is a legal resident of the United States, he/she must possess a valid U.S. passport and be legally permitted to enter Canada at the time of prize fulfillment. Failure to provide valid travel documentation or denial of entry into Canada for any reason will result in forfeiture of the Grand Prize, and no substitute prize or compensation will be provided. Further, winner will be solely responsible for declaring the Grand Prize to U.S. Customs and Border Protection and/or the Canada Border Services Agency upon crossing the border, and for the payment of any and all applicable duties, tariffs, customs fees, and/or import taxes (if any) associated with taking possession of or importing the Grand Prize into the United States. Sponsor shall not be responsible for any such fees or for the winner’s failure to comply with border entry or customs requirements.

Winner must be able to accept the prize as presented. Prize is awarded ‘as is’ and ‘with all faults,’ and Sponsor makes no representations or warranties, express or implied, with respect to its condition, except as may be covered by the manufacturer’s warranty, if any. Sponsor’s determinations regarding the awarding of the prize are final. All details and other restrictions of the prize not specified in these Official Rules will be determined by Sponsor in its sole discretion. Actual value of the prize under this Promotion may be lower or higher at the time of its fulfillment, and any difference between actual value and the stated ARV (if actual value is lower than stated ARV) will not be awarded. Prize ARV represents Sponsor’s good faith determination, is final and binding and cannot be challenged or appealed.

 

Sponsor is not responsible if any element of the prize is delayed, altered, postponed or cancelled for any reason. The prize is non-transferable, non-refundable, and no substitution or cash redemption will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right, for whatever reason, to substitute a prize (or any component thereof) for one of equal or greater value.

 

5. Winner Selection and Notification

 

On or about December 10, 2025, Administrator will conduct a random drawing from among all eligible entries received to select one (1) potential winner for the Grand Prize.

 

The potential winner will be notified by email by a designated representative of the Administrator within twenty-four (24) hours of the drawing. If any potential winner (i) cannot be contacted within forty-eight (48) hours of the initial notification after two (2) attempts, (ii) if any notification is returned as undeliverable, or (iii) if the prize is declined or cannot be accepted, then the potential winner may, in Sponsor’s sole and absolute discretion, be disqualified and forfeit all rights to the prize. In such event, Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant for the prize in a separate random drawing from among all remaining eligible entries received in accordance with these Official Rules.

 

No one is a Winner unless and until the Sponsor officially confirms him/her as a Winner in accordance with these Official Rules.

 

The potential winner will become a confirmed winner (the “Winner”) after meeting the requirements that follow. Failure to comply will result in disqualification and an alternate winner will be selected by the means set forth above.

 

       The potential winner must sign and return, within forty-eight (48) hours of initial notification, an Affidavit of Eligibility, a Liability Release, and a Publicity Release (where allowable) (collectively, the “Releases") as a condition of acceptance of the prize.

 

       The potential winner must provide a valid driver’s license.

 

       If the potential winner is a resident of Canada, he/she must correctly answer, without assistance of any kind, a time-limited mathematical skill-testing question within forty-eight (48) hours of initial notification.

 

       If the potential winner is a resident of the United States, he/she must sign and return, within forty-eight (48) hours of initial notification, an IRS Form W-9 which will require disclosure of additional personal information, including a social security number. Information from the W-9 form will only be used to fulfill Sponsor’s tax obligations in connection with this Promotion and for no other purpose.

 

Failure to return all requested documentation within the specified timeframe, failure to correctly answer the skill-testing question (if applicable), failure to comply with these Official Rules, or failure to meet all eligibility requirements may result in disqualification, at Sponsor’s sole discretion. In such event, Sponsor reserves the right to randomly select an alternate potential winner in accordance with these Official Rules.

 

Live Event Commitment: As a condition of eligibility for the Grand Prize, the potential winner acknowledges and agrees to participate in a live Grand Prize announcement event (the “Live Event”) on a date and time to be determined by Sponsor in its sole discretion (Sponsor will provide reasonable advance notice and specify the applicable time zone and connection method). By participating, each potential winner/finalist agrees to: (a) Provide a current telephone number at which they can be reached on the day of the Live Event; (b) Confirm, in advance, the device and application to be used for participation (e.g., FaceTime, WhatsApp, or another mutually agreed option); and (c) Be available and responsive at the scheduled time. Failure to timely provide the required information, failure to appear on or remain connected to the live video call, or failure to be reasonably responsive at the scheduled time may result, in Sponsor’s sole discretion, in disqualification and selection of an alternate winner in accordance with these Official Rules.

 

Sponsor may record, photograph, and/or broadcast the Live Event. Except where prohibited by law, participation in the Live Event constitutes the participant’s permission for Sponsor and its designees to record, edit, reproduce, publish, broadcast, distribute, and otherwise use the participant’s name, city and state/province/territory of residence, likeness, voice, photograph, video, statements, and biographical information for advertising, publicity, and promotional purposes in any and all media now known or hereafter devised, worldwide, in perpetuity, without additional compensation, notification, or permission.

 

Sponsor reserves the right, in its sole discretion, to reschedule, modify, or cancel the Live Event (including converting to audio-only or asynchronous recording) due to technical difficulties, force majeure, or any other reason, and to waive strict compliance with the foregoing requirements where appropriate and consistent with these Official Rules.

 

6. Limitation of Liability

 

By participating in the Promotion each entrant, his/her heirs, executors, administrators and assigns, releases, waives, discharges, and holds harmless the Promotion Parties from, and against any and all loses, damages, rights, claims, actions, causes of action, personal injury, property damage or death (including without limitation any and all costs and liabilities of any kind including but not limited to lawyer’s fees), and including, without limitation, any such arising from any act of negligence of the Promotion Parties, that the entrant now has, or may hereafter have against the Promotion Parties directly or indirectly resulting from participation of the Promotion or the awarding, acceptance, use, or misuse of a prize. Winner assumes all liability for any injury or damage caused or claimed to be caused by participation in this Promotion or use/misuse or redemption of a prize.

 

FOR RESIDENTS OF THE STATE OF CALIFORNIA: You acknowledge and agree that your release and waiver extends to the following, the protections of which you explicitly waive:

 

California Civil Code Section 1542: A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.

 

The Promotion Parties are not responsible for: (i) lost, late, misdirected or damaged entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or (iii) any injury or damage to participants’ or any other person’s computer related to or resulting from participating in the Promotion.

 

7. Publicity

 

Except where prohibited by law, participation in the Promotion (including participation in the Live Event) and acceptance of a prize constitutes the winner’s consent for Sponsor and its designees to record, photograph, film, broadcast, and otherwise use the winner’s name, city/state/province of residence, likeness, voice, and appearance, including during the Live Event, for promotional, advertising, and publicity purposes in any media, worldwide, in perpetuity, without additional compensation, notification, or permission.

 

8. General

 

By participating in the Promotion, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Promotion.

 

All amounts listed in this Promotion are in US Dollars (USD) unless stated otherwise. The Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of the prize. In the event of a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or communications, privacy policy or terms of use on the Promotion Website and/or the terms and conditions of the Official Rules, these Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute determination.

 

Failure to comply with these Official Rules will result in disqualification. Sponsor reserves the right to permanently disqualify from any Promotion it sponsors any person it believes has intentionally violated these Official Rules. If for any reason this Promotion is not capable of running as planned due to any causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Promotion, at which time, Sponsor will conduct a random drawing from among all eligible entries received at the time of the Promotion termination.

 

9. Privacy

 

Personal information collected is used solely for contest administration and is subject to the Sponsor’s Privacy Policy, available at https://www.cerberuscollective.com/policies/privacy-policy. By participating in the Promotion and providing your personal information, you agree and consent to Sponsor’s use of your personal information for the purposes described herein.

 

If you consent to receive promotional emails from Sponsor, Sponsor may use your personal information to send you newsletters, special offers, and other marketing communications. You may withdraw your consent at any time by clicking the “unsubscribe” link in any such email.

 

10. Dispute Resolution

 

To the fullest extent permitted by law, these Official Rules and the Promotion are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Except for individual claims that qualify for small-claims court, any dispute, claim, or controversy arising out of or relating to the Promotion or these Official Rules shall be resolved exclusively by final and binding arbitration seated in Calgary, Alberta, before a single arbitrator, and conducted in English. Arbitration shall be administered pursuant to procedures designed to afford a fair but efficient resolution; Sponsor will pay administrative/arbitrator fees to the extent required by applicable rules/law; each party otherwise bears its own attorneys’ fees and costs unless the arbitrator awards otherwise under applicable law.

 

Proceedings will be conducted only on an individual basis and not as a class, collective, representative, or private attorney general action, and the arbitrator may not consolidate claims of more than one person. If the class/representative waiver is found unenforceable as to a particular claim, then (i) the arbitration agreement shall be null and void solely as to that claim, and (ii) such claim must be brought exclusively in the provincial or federal courts located in Calgary, Alberta, and the parties irrevocably consent to that jurisdiction and venue. To the extent any provision of this Section 10 is held invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law and deemed modified to the minimum extent necessary to make it valid and enforceable, and the remainder shall continue in full force and effect.

 

11. Winners List
